END-USER LICENSE AGREEMENT — VIDEO / BROADCAST / ADVERTISING
The End-User License known as the “Video / Broadcast / Advertising License” permits the use of the Font in audiovisual productions and paid advertising campaigns as described below.
Article I — Preamble: common provisions to all End-User License Agreements entered into with COLORTYPE SARL
General provisions
This Agreement governs the use of the typefaces (the “Font(s)” or the “Font Software”) supplied by Colortype SARL, trading under the commercial name Babelfont, with registered office at 43 rue du Moulin Vert, 75014 Paris (the “Licensor” or the “Seller”).
This Agreement applies to all digital Font files presented on babelfont.com. None of these Fonts are sold; they are licensed to the end user under the terms of this Agreement.
The purchase and use by the purchaser (hereinafter the “End User”) of a License for the Fonts are subject to the terms and conditions set forth herein.
By paying for, downloading, installing and/or using the digital Fonts governed by this Agreement, the End User acknowledges that they have read and accept the terms of this Agreement.
Rights reserved by the Licensor
The Fonts are protected by copyright. Colortype SARL is the exclusive owner of all intellectual property rights in the Fonts, including copyrights and trademark rights. This License grants only limited rights of use; no proprietary title is transferred to the purchaser. Any unauthorised use or infringement of those rights is prohibited and will render the purchaser contractually liable; the purchaser shall indemnify Colortype SARL in respect of any such infringement.
This License is non-exclusive, non-transferable, worldwide and granted for an indefinite duration, subject to compliance with its terms.
Article II — Rights granted to the End User under the Video / Broadcast / Advertising License
Section 2.01 — Permitted uses under the Video / Broadcast / Advertising License
Under this License the purchaser is authorised to the following uses:
a. Cinema production and streaming platforms: The purchaser is authorised to:
• embed or use the Font in films, documentaries or series for graphical elements such as opening and closing credits, titles, subtitles, lower thirds, banners, etc.;
• use the Font in content exhibited in cinemas or made available on VOD/OTT streaming platforms (e.g., Netflix, Prime Video, Disney+), without territorial limitation;
• cover a single production, which may include multiple episodes or seasons in the case of a series.
b. Television broadcast (channel branding or single programme): The purchaser is authorised to:
• use the Font in content destined for television broadcast, including:
◦ channel branding (intros, lower thirds, idents, stings, etc.);
◦ recurring or one-off programmes;
◦ re-broadcasts and international versions of the same production;
• a single License may cover multiple related programmes under the same channel identity (specific case for channel branding).
c. Paid advertising (media buy): The purchaser is authorised to:
• use the Font in commercials or sponsored videos broadcast:
◦ on television;
◦ as pre-roll or mid-roll on digital platforms (YouTube Ads, TikTok Ads, Instagram, Facebook, etc.);
◦ on digital out-of-home (DOOH) screens;
◦ in cinemas;
• this License covers a single advertising project or campaign, irrespective of platforms or duration.
Section 2.02 — Restrictions under the Video / Broadcast / Advertising License
Without limitation, under this License the End User is not authorised to:
a. Unauthorised redistribution or transfer: Except as integrated within the licensed audiovisual production, it is prohibited to redistribute, resell, assign or transfer the Font to third parties, whether free of charge or for consideration.
b. Reuse on multiple distinct projects: It is prohibited to reuse the Font across multiple different projects (films, separate advertising campaigns, different programmes), unless covered by an additional licence. (NB: exception — channel branding or cohesive franchise identity with multiple broadcasts may be covered.)
c. Use for other media without a dedicated licence: It is prohibited to use the Font in environments or for media not covered by this License, including (without limitation):
• websites or dynamic web interfaces;
• mobile applications;
• physical products and printed matter;
• server-installed software;
• SaaS platforms or online tools.
Note: internal videos or non-paid content (e.g., institutional motion design, organic social posts) may be covered by the PRINT License.
Section 2.03 — Interpretative clarifications and points of attention
The following clarifications apply to interpretation of this Agreement:
a. Duration: This Video / Broadcast / Advertising License is granted without temporal limitation provided the License terms are complied with.
b. One licence = one production: Each film, series, programme or advertising campaign requires its own licence, except where a global channel branding license applies.
c. Third-party contractors: Your external providers (freelancers, agencies) must obtain a licence to work on your projects.
d. Security and embedding obligation: The Font must be embedded into the final video file in a secure manner that prevents modification, extraction, copying or independent re-use by the end user.
e. Responsibility of subcontractors: Agencies, studios or freelancers may temporarily access Font files on behalf of the End User. They must destroy all copies at the end of the project. Re-use on another project or for another client is prohibited without their own licence.
f. Scope of styles: This License covers only the styles (weights and variants) expressly included in your purchase. Adding variants requires an upgrade or additional purchase.
g. Territorial and platform scope: The authorised use of the Font under this Agreement is unlimited as to territory, platform or number of views, but is limited to the specified production.
h. If in doubt: For multi-campaign, cross-media or multi-platform franchise use, the End User should contact Babelfont to adapt the licence to the project scope.
Article III — End-User obligations
The End User shall take all appropriate measures to prevent any unauthorised access to the licensed Font files (or any copy thereof) delivered under this End-User License.
The End User shall inform its employees and any persons with access to the Font files of their obligation to comply strictly with the terms and conditions set out in this Agreement. Breach of any provision hereof may give rise to termination by the Licensor.
Article IV — Termination
This License remains in force until terminated. Colortype SARL reserves the right to issue a notice of termination in case of non-compliance with the terms of this Agreement. Termination shall take effect thirty (30) days after the issuance of such notice.
In the event of termination, the End User shall return to Colortype SARL the digital Font files, their components and any related digital data, and shall destroy all copies in its possession within seven (7) days of the date of termination, thereby prohibiting any further use. At Colortype SARL’s request, the End User shall provide written confirmation that such destruction has taken place.
Notwithstanding termination, Colortype SARL expressly reserves the right to pursue any other remedies available (including injunctive relief and claims for damages).
Upon termination, the End User must permanently delete all copies of the Font files and deliver a written statement certifying such deletion.
Article V — Disclaimer of warranty
The product is provided “as is.” Colortype SARL gives no warranty, express or implied, as to merchantability or fitness for a particular purpose.
All risk as to the quality and performance of the digital Font rests with the End User. Colortype SARL does not warrant that the features contained in the Font files will meet the End User’s requirements or that they are error-free. Any implied warranty required by applicable law is limited to a period of thirty (30) days (see the clause on returns and exchanges). The End User accepts that no other warranties apply after the aforementioned period.
Article VI — Returns and exchanges
Fonts may be returned or exchanged only if defective and accompanied by valid proof of purchase within thirty (30) days from the date of purchase.
Article VII — Governing law
This License is governed by French law. Any dispute regarding its interpretation or enforcement shall be subject to the exclusive jurisdiction of the Tribunal judiciaire de Paris.
Article VIII — Entire agreement
This License and the associated invoice constitute the entire agreement between Colortype SARL and the End User with respect to the use of the Fonts.
Article IX — Other licences available
