I. Presentation of the “Desktop” End-User License


The End-User License known as the “Desktop License” permits installation of the Font Software on workstation computers for print and non-web digital uses. It authorizes creation of documents, graphic designs, presentations, infographics, raster or vector images for online display (JPEG, PNG, SVG, etc.) and any other visual project. This license is particularly suited to production of communication materials such as brochures, posters and brand identity work.

II. END-USER LICENSE AGREEMENT — DESKTOP


Article I — Preamble: common provisions to all End-User License Agreements entered into with COLORTYPE SARL


Section I.01 — General provisions
This Agreement governs the use of font software supplied by Colortype SARL, trading as Babelfont, with registered office at 43 rue du Moulin Vert, 75014 Paris (the “Licensor” or “Seller”).
This Agreement applies to all digital fonts presented on babelfont.com. None of these fonts are sold; they are licensed to the end user under the terms of this Agreement.
The purchase and use by the purchaser (hereinafter the “End User”) of a License for the fonts are subject to the terms and conditions set forth herein.
By paying for, downloading, installing and/or using the digital fonts governed by this Agreement, the End User acknowledges having read and accepted the terms of this License.
Section I.02 — Rights reserved by the Licensor
The fonts are protected by copyright. Colortype SARL is the exclusive owner of all intellectual property rights in the fonts, including copyright and trademark rights. This License grants only limited rights of use; no proprietary title is transferred to the purchaser. Any unauthorized use or infringement of these rights is prohibited and will render the purchaser contractually liable; the purchaser shall indemnify Colortype SARL for any such infringement.
This License is non-exclusive, non-transferable, worldwide and granted for an indefinite duration, subject to compliance with the contractual terms.

Article II — Rights granted to the End User under the Desktop License


Section II.01 — Permitted uses under the Desktop License
This Desktop License authorises the End User to:
a. Installation — controlled environment. Install the Font Software on a specified number of desktop and laptop computers within an environment controlled by the licensee. The Desktop License is issued for a defined number of workstations; any excess installation requires a license extension or additional licenses.
b. Creation of printed and digital visual content. Use the Font Software to create documents, graphic designs, presentations, infographics, raster or vector images for online display (JPEG, PNG, SVG, etc.), logos (including modifications to glyphs), and other visual projects intended for distributable media. This includes commercial prints such as brochures, posters and other commercial materials.
c. Embedding in documents and applications (static embedding). Embed the Font Software in electronic documents (e.g., PDF), digital presentations or software applications for internal or external use provided that the Font Software is embedded statically and cannot be extracted or reused independently. Embedding is permitted for interactive documents (PDFs, presentations) made available online only where the font is protected against extraction (read-only embedding).
Section II.02 — Restrictions under the Desktop License
Without limitation, under the Desktop License the End User is not authorised to:
a. Unauthorized distribution and transfer. Redistribute, resell, assign or transfer the Font Software or any copy thereof to third parties, whether gratuitously or for consideration. Licensed Desktop users shall not transmit the raw font files to third parties as part of documents. Any document supplied to a third party must contain the font outlines (converted to curves) or be rasterised (PNG, JPG, TIFF) or saved in a secured PDF format; it must not permit extraction or reuse of the font software. Each third party (agency, freelance designer, etc.) must obtain its own license for its use.
b. Modification and derivative works. Modify, decompile, disassemble or otherwise reverse-engineer the Font Software to create new font versions, except with the prior written consent of Colortype SARL.
c. Limited to purchased styles. The License covers only the font styles/weights expressly included in your purchase. Any additional styles (Italic, Bold, Condensed, etc.) require a supplemental license or upgrade.
d. Embedding and distribution beyond read-only/subset use. Embedding of the full, editable Font Software into electronic publications, mobile applications, streaming services, web pages or devices is permitted only as a secure sub-set (i.e., subset embedding) where the delivered font cannot be extracted, edited or reused (read-only). Any recipient of an electronic document that would allow text editing with the licensed font must be a user within the licensed unit.
Section II.03 — Interpretative clarifications and points of attention
The following clarifications apply to interpretation of the contract terms:
a. Duration. The Desktop License is granted perpetually, provided that the license terms continue to be complied with.
b. Number of users per license purchased. For example, a 5-user license authorises installation and use of the Font Software by up to five (5) distinct persons.
c. External contractors. External service providers (freelancers, agencies) must acquire their own license when required to work on your projects.
d. Liability for breaches. You are responsible for ensuring compliance with the License terms by all users under your authority. Any breach committed by an internal user will be deemed a breach by the licensee.
e. Retention on employee devices. In the event of personnel changes (e.g., employee departure), you must ensure that font files are removed from the departing employee’s devices and any personal storage.
f. Notification to the Licensor. You must promptly notify Babelfont (Colortype SARL) in the event of any unauthorised access or use of the Font Software by unlicensed third parties.
g. Copyright notice. Backup copies must include the applicable copyright, trademark and accompanying notices. You are responsible for any loss or unauthorised use.
h. Limitation of permitted uses. This License covers only the uses listed above. Any other use (including but not limited to server embedding, OEM/FEO, broad redistribution, mass-printing quotas, or application embedding) requires a separate license.
i. Scope of the License (styles and weights). This License covers only the specific styles (weights and variants) expressly included in your purchase. The addition of variants requires an upgrade or an additional purchase.

Article III — End-User obligations
The End User undertakes to take all reasonable measures to prevent any unauthorised access to the licensed Font Software (or any copy thereof) delivered under this End-User License. The End User shall inform its employees and any persons granted access to the Font Software of their obligation to comply strictly with the terms and conditions set out in this Agreement. Violation of any provision hereof may give rise to termination by the Licensor.

Article IV — Termination
This License remains in effect until terminated. Colortype SARL reserves the right to issue a notice of termination in case of non-compliance with the terms of this Agreement. Termination shall take effect thirty (30) days after the issuance of such notice.
In the event of termination the End User shall return to Colortype SARL the digital font files, their components and any related digital data, and shall destroy all copies in its possession within seven (7) days from the date of termination, thereby prohibiting any further use. At Colortype SARL’s request, the End User shall provide written confirmation that such destruction has taken place.
Notwithstanding termination, Colortype SARL expressly reserves the right to pursue any other remedies available (including injunctive relief, claims for damages, etc.).
Upon termination, the End User must permanently delete all copies of the Font Software and provide a written declaration certifying such deletion.

Article V — Disclaimer of warranty
The product is provided “as is.” Colortype SARL gives no warranty, express or implied, as to merchantability or fitness for a particular purpose.
All risk as to the quality and performance of the digital font rests with the End User. Colortype SARL does not warrant that the features contained in the Font Software will meet the End User’s requirements or that they are error-free. Any implied warranty required by applicable law is limited to a period of thirty (30) days (see the clause on returns and exchanges). The End User accepts that no other warranties apply after the aforementioned period.

Article VI — Returns and exchanges
Fonts may be returned or exchanged only if defective and accompanied by valid proof of purchase within thirty (30) days from the date of purchase.

Article VII — Governing law
This License is governed by French law. Any dispute relating to its interpretation or enforcement shall fall within the exclusive jurisdiction of the Tribunal judiciaire de Paris.

Article VIII — Entire agreement
This License and the related invoice constitute the entire agreement between Colortype SARL and the End User concerning use of the fonts.

Article IX — Other available licenses
For any use not covered by this License, other licenses are available to meet your specific needs. Please contact Colortype/Babelfont at co*****@*******nt.com


Section IX.01 — Usage-based licenses
These licenses grant rights according to the medium or distribution channel and are ideal for specific, limited needs:
• DESKTOP License — Use the font for printed materials (posters, brochures, packaging). Installation permitted on a specified number of workstations.
• WEB License — Integrate the font on websites.
• SERVER License — Host the font on a server to generate dynamic content for online platforms, SaaS applications, or multi-user interfaces.
• APP / E-BOOK License — Embed the font in mobile apps, e-books or interactive content distributed via app stores or reading platforms.
• VIDEO / BROADCAST / ADVERTISING License — Use the font in audiovisual content distributed online, on television or in cinema and in paid media advertising campaigns.
• OEM / FEO License — Integrate the font into a mass-distributed product (electronic devices, software, video games, automobiles, etc.). Required for any embedded distribution.
• EDUCATION License — Intended for students, teachers and educational institutions; authorises non-commercial use exclusively within an educational context.


Section IX.02 — Brand-based licenses
These licenses provide broader coverage for companies wishing to integrate the font into their core visual identity; pricing depends on the scope of the brand concerned:
• SINGLE BRAND License — Covers all uses (except OEM/FEO) for a single commercial brand or a coherent product line. No temporal or territorial limit.
• GLOBAL BRAND License — Grants unlimited use of the font across the entire brand ecosystem (including subsidiaries, cross-brand campaigns and corporate communications). Covers all uses without restriction.
