End User License Agreement — “Global Branding”
Article I.
Preamble: general provisions applicable to all End User License Agreements entered into with COLORTYPE SARL
Section I.01 — General provision
This Agreement governs the use of the typefaces supplied by Colortype SARL, trading under the commercial name Babelfont, with registered office at 43 rue du Moulin Vert, 75014 Paris (the “Seller”).
This Agreement applies to all digital typefaces presented on the website babelfont.com. None of these typefaces are sold; they are licensed to the end user.
The purchase and use by the buyer (the “End User”) of the license for the typefaces are subject to the terms and conditions set forth herein.
By paying for, downloading, installing and/or using the digital typefaces governed by this Agreement, the End User confirms that they have read and accept the terms of this Agreement.
Section I.02 — Rights reserved by the Seller
The supplied typefaces are protected by copyright. Colortype SARL is the exclusive owner of all intellectual property rights in the typefaces, including copyright and trademark rights. This License grants only limited usage rights; no permanent ownership rights are transferred to the buyer. Any unauthorized use or any use infringing those rights is prohibited and will engage the buyer’s contractual liability, who shall indemnify Colortype SARL for any infringement.
This license is non-exclusive, non-transferable, unlimited in territory, and granted for an unlimited duration, subject to compliance with the contractual terms.
Article II. Rights granted to the End User under the “Global Branding” license
Section II.01 — Permitted uses under the Global Branding License
The Global Branding License is an extended license allowing a company or group to use a typeface across its entire communications ecosystem, including:
a. All brands, entities, product or service lines of the company, including sub-brands and daughter brands.
b. Institutional communications: corporate communications, annual reports, HR communications, internal documents, financial communications.
c. All communication media: print, web, video, outdoor/display, office documents, motion graphics, signage, event support, internal documentation.
d. Extended sharing with all service providers working for the company or its brands: agencies, studios, printers, freelancers, developers, etc.
e. A perpetual license, with no geographic limitation and no time limit.
Section II.02 — Restrictions on use under the Global Branding License
The End User, under the Global Branding License, is not authorized to:
a. Unauthorized distribution and transfer: redistribute, resell, assign or transfer the typeface to third parties, whether free of charge or for consideration, outside the scope of the End User’s own brand usages.
b. Unauthorized modification and derivatives: modify, decompile or disassemble the typeface to create new font versions, except with Colortype SARL’s prior written authorization.
c. The license covers only the styles explicitly provided in your purchase. Any additional variants (Italic, Bold, Condensed, etc.) require a supplementary license.
d. Use the typeface for OEM / FEO purposes (integration in distributed products, embedded software, machines, sold interfaces, etc.).
e. Transfer the license to another company or legal entity, except with prior written agreement.
Section II.03 — Interpretative clarifications and points of attention
The following clarifications apply to the interpretation of the clauses of this Agreement:
a. Duration of the license agreement: This Global Branding License is granted for an unlimited duration, provided the license terms are respected.
b. Legal scope: this license must be purchased and managed by the central legal entity (parent company, holding, general management, etc.).
c. Sharing with service providers: such providers must be informed that use of the typeface is limited to tasks performed on behalf of the licensed company. Authorized providers must be made aware of the restrictions. Any reuse for another client or project is prohibited.
d. Limited internal use (e.g., PowerPoint templates, bureaucratic templates, etc.): internal use is tolerated only where it relates to the direct commercial communication of the brand concerned.
e. External transfer of the license by the buyer: your external providers (freelancers, agencies) must obtain their own license to work on your projects.
f. Liability for breach of the license: you are responsible for enforcing the license terms with all users under your authority. Any infringement by an internal user is considered a violation by you.
g. Retention of fonts on employees’ devices: in case of user change (e.g., employee departure), you must ensure that font files are removed from their devices and any personal storage.
h. Notification to the font owner: you must notify Babelfont (Colortype SARL) without delay in case of unauthorized access to or use of the typeface by unlicensed third parties.
i. Copyright notice: backup copies must include copyright, trademark and associated notices. You are responsible for any loss or unauthorized use.
j. Limitation of permitted uses: this license covers only the uses listed above. Any other use (notably print, video, server, application, etc.) may require a supplementary license.
k. Scope of the license: this license covers only the styles (weights and variants) explicitly included in your purchase. The addition of variants requires an update or supplementary purchase.
l. Respect of copyright: even under a global license, modification of the font files is prohibited without authorization.
Section II.04 — Frequently Asked Questions — Global Branding License
a. What exactly does this Global Branding License cover?
The Global Branding License permits use of the typeface across all brands, subsidiaries and activities of the same group, as well as in any institutional or internal communication (HR, financial, reports, etc.), without geographic or temporal limitation.
b. Is the Global Branding License compatible with a group-wide brand charter covering multiple entities?
Yes. It is designed to cover all brands, sub-brands and derivatives that fall within the same legal structure (or the same consolidated group).
c. Can the Global Branding License be used for an agency client project?
No. This license is intended for the End User company. If you are an agency, you must acquire the license in the name of your client or require the client to do so.
d. May I share the typeface with all my partner agencies under the Global Branding License?
Yes, provided the use is related to the group’s or its brands’ communications. Agencies may not reuse the typeface for other clients.
e. Does this license cover internal documents?
Yes, without restriction: HR documents, annual reports, internal presentations, managerial communications, PowerPoint templates, etc.
f. Is the license valid worldwide?
Yes. The license is global and perpetual.
g. Is it transferable if the company is acquired?
No. Any assignment or transfer to a new legal entity must be the subject of a written agreement with Babelfont. Contact us in case of a merger or change of shareholders.
h. May I embed the typeface into software or hardware for sale?
No. Such usage requires an OEM / FEO License.
i. What happens if the group launches a new brand?
The license automatically covers new brands, provided they belong to the same legal group. In case of doubt, contact us.
Article III — End User’s obligations and liabilities
The End User undertakes to take all necessary measures to prevent any unauthorized access to the digital typeface (or any copy thereof) delivered under this End User License.
The End User agrees to inform its employees or any person having access to the digital typeface that they must strictly comply with the terms and conditions set forth in this End User License Agreement. Violation of any condition stated herein shall constitute grounds for termination by the author.
Article IV — Termination
This License remains in force until terminated. Colortype SARL reserves the right to issue a notice of termination in case of non-compliance with the terms. Termination will take effect thirty (30) days after issuance of such notice.
In that event, the End User must return the digital typefaces, their components and related digital assets to Colortype SARL, and destroy all copies in its possession within seven (7) days from the termination date, thereby prohibiting any further use. At Colortype SARL’s request, the End User shall provide written confirmation that such destruction has taken place.
Notwithstanding termination, Colortype SARL reserves the right to assert any other claims (including information, damages, etc.).
Upon termination, the End User must permanently delete all copies of the typefaces and provide a written declaration confirming such deletion.
Article V — No warranty by the author
The product is provided “as is.” Colortype SARL gives no warranties, express or implied, as to merchantability or fitness for a particular purpose.
All risk as to the quality and performance of the digital typeface rests with the End User. Colortype SARL does not warrant that the functions contained in the digital typeface will meet the End User’s requirements or that they are error-free. Any implied warranty created by law shall only be effective for a period of thirty (30) days (see clause on returns and exchanges). The End User acknowledges that there are no further warranties after the period mentioned above.
Article VI — Returns and exchanges
Typefaces may be returned or exchanged only if defective and accompanied by a valid proof of purchase within thirty (30) days following the purchase.
Article VII — Governing law
This License is governed by French law. In the event of a dispute concerning its interpretation or enforcement, the competent court shall be the Tribunal judiciaire de Paris.
Article VIII — Entire agreement
This License and the associated invoice constitute the entire agreement between Colortype SARL and the End User regarding the use of the typefaces.
