END-USER LICENSE AGREEMENT — EDUCATION
Article I — Preamble: common provisions to all End-User License Agreements entered into with COLORTYPE SARL
Section I.01 — General provisions
This Agreement governs the use of the font software supplied by Colortype SARL, trading as Babelfont, with its registered office at 43 rue du Moulin Vert, 75014 Paris (the “Licensor” or the “Seller”).
This Agreement applies to all digital fonts presented on babelfont.com. None of these fonts are sold; they are licensed to the end user under the terms of this Agreement.
The purchase and use by the purchaser (hereinafter the “End User”) of a License for the fonts are subject to the terms and conditions set forth herein.
By paying for, downloading, installing and/or using the digital fonts governed by this Agreement, the End User acknowledges having read and accepted the terms of this License.
Section I.02 — Rights reserved by the Licensor
The fonts are protected by copyright. Colortype SARL is the exclusive owner of all intellectual property rights in the fonts, including copyright and trademark rights. This License grants only limited rights of use; no proprietary title is transferred to the purchaser. Any unauthorised use or infringement of these rights is prohibited and will render the purchaser contractually liable; the purchaser shall indemnify Colortype SARL for any such infringement.
This License is non-exclusive, non-transferable, worldwide and granted for an indefinite duration, subject to compliance with the contractual terms.
Article II — Rights granted to the End User under the Education License
Section II.01 — Permitted uses under the Education License
The Education License permits strictly non-commercial use of Babelfont fonts in an educational context, namely:
a. Use by students for their personal coursework or within the framework of classes, school projects, exams, portfolios or student competitions.
b. Use by teachers for preparation and distribution of internal teaching materials (courses, presentations, exercises, school brochures).
c. Use by educational institutions (schools, universities, training centres) for internal documents, course materials, and typographic workshops.
d. Installation on students’ or teachers’ personal workstations, or on the institution’s educational workstations.
e. This License is offered at a preferential rate and is valid for a limited, defined period of use.
Section II.02 — Restrictions under the Education License
The Education License does not authorise the following uses:
a. Any commercial use: advertising, packaging, brand communications, sale of goods, or paid projects (including internships with remuneration, self-employment).
b. Use by agencies, businesses, or public or private institutions outside the strictly pedagogical context.
c. Sharing of font files outside the authorised circle (students, teachers, institution staff).
d. Modification and derivative works: it is prohibited to modify, decompile, disassemble or otherwise reverse-engineer the Font Software to create new font versions, except with the prior written consent of Colortype SARL.
e. The License covers only the styles expressly supplied with your purchase. Any additional styles (Italic, Bold, Condensed, etc.) require a supplementary license.
f. Unauthorized distribution and transfer: it is prohibited to redistribute, resell, assign or transfer the Font Software to third parties, whether free of charge or for consideration, except as embedded within the final deliverable for which the License was purchased. The font may not be made separately accessible by users of that product. The License covers only the styles expressly provided in your purchase; any additional variants require a supplementary license.
g. Posting or making the Font Software available on public download platforms (even for educational purposes) is prohibited.
Section II.03 — Interpretative clarifications and points of attention
The following clarifications apply to interpretation of the contract terms:
a. Proof of eligibility: a valid student card, certificate of enrolment, or evidence of employment (teacher / institutional staff) will be requested.
b. Duration of the License: [see note] — the License is stated to be granted for an indefinite duration provided the license terms are respected. (Note: Section II.01(e) indicates the Education License is offered at a preferential rate and valid for a limited period; please reconcile this with the indefinite-duration wording in this clause if you intend a limited-term educational license.)
c. Notification to the Licensor: You must promptly notify Babelfont (Colortype SARL) in the event of any unauthorised access or use of the Font Software by unlicensed third parties.
d. Copyright notice: Backup copies must include the applicable copyright, trademark and accompanying notices. You are responsible for any loss or unauthorised use.
e. Limitation of permitted uses: This License covers only the uses listed above. Any other use (including but not limited to print mass production, video/broadcast, server use, application embedding, OEM/FEO uses) requires a separate commercial license.
f. Scope of the License (styles and weights): This License covers only the specific styles (weights and variants) expressly included in your purchase. The addition of variants requires an upgrade or an additional purchase.
g. Internship / freelance work: Any use in the context of a commercial internship or an external commercial project is not authorised and requires a commercial license.
h. Institutional control: It is recommended that the school or university centralise license requests and manage the distribution of font files to students and teachers.
i. Respect for intellectual property: As with any license, the Education License confers no ownership rights in the Font Software and does not permit modification or redistribution beyond the authorised scope.
Section II.04 — Validation of the Education License
To benefit from this License, students, teachers or educational institutions must provide proof of academic status, such as a valid student card, certificate of employment, or an institutional attestation. Colortype SARL reserves the right to request additional evidence and to cancel the License if the information provided is incorrect or falsified.
Article III — End-User obligations
The End User undertakes to take all reasonable measures to prevent any unauthorised access to the licensed Font Software (or any copy thereof) delivered under this End-User License.
The End User shall inform its employees and any persons granted access to the Font Software of their obligation to comply strictly with the terms and conditions set out in this Agreement. Violation of any provision hereof may give rise to termination by the Licensor.
Article IV — Termination
This License remains in effect until terminated. Colortype SARL reserves the right to issue a notice of termination in case of non-compliance with the terms of this Agreement. Termination shall take effect thirty (30) days after the issuance of such notice.
In the event of termination the End User shall return to Colortype SARL the digital font files, their components and any related digital data, and shall destroy all copies in its possession within seven (7) days from the date of termination, thereby prohibiting any further use. At Colortype SARL’s request, the End User shall provide written confirmation that such destruction has taken place.
Notwithstanding termination, Colortype SARL expressly reserves the right to pursue any other remedies available (including injunctive relief, claims for damages, etc.).
Upon termination, the End User must permanently delete all copies of the Font Software and provide a written declaration certifying such deletion.
Article V — Disclaimer of warranty
The product is provided “as is.” Colortype SARL gives no warranty, express or implied, as to merchantability or fitness for a particular purpose.
All risk as to the quality and performance of the digital font rests with the End User. Colortype SARL does not warrant that the features contained in the Font Software will meet the End User’s requirements or that they are error-free. Any implied warranty required by applicable law is limited to a period of thirty (30) days (see the clause on returns and exchanges). The End User accepts that no other warranties apply after the aforementioned period.
Article VI — Returns and exchanges
Fonts may be returned or exchanged only if defective and accompanied by valid proof of purchase within thirty (30) days from the date of purchase.
Article VII — Governing law
This License is governed by French law. Any dispute relating to its interpretation or enforcement shall fall within the exclusive jurisdiction of the Tribunal judiciaire de Paris.
Article VIII — Entire agreement
This License and the related invoice constitute the entire agreement between Colortype SARL and the End User concerning use of the fonts.
Article IX — Other available licenses
